The terms that govern the use of our website and services.
These Terms & Conditions ("Terms") govern your access to and use of the Uni B Agency website (unibagency.com) and the services we provide. By using our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.

1. Who we are
Uni B Agency ("Uni B", "we", "us" or "our") is a digital brand and growth agency based in Bamenda, Cameroon. We provide branding and design, social media management, search engine optimisation (SEO), web development, digital marketing, and related products and automation services to clients in Cameroon and internationally.
2. Definitions
- "Client", "you" — any individual or organisation that engages us or uses our website.
- "Services" — the work we agree to deliver, as described in a proposal, quotation or statement of work.
- "Deliverables" — the designs, content, code or other materials we produce for you.
- "Products" — our own tools and platforms such as UniBHost, UniMailer, UniSMS, UPortfolio and UniBacklink.
3. Our services
The scope, timeline and price of any engagement are set out in a separate written proposal, quotation or statement of work ("Project Agreement"). Where these Terms conflict with a signed Project Agreement, the Project Agreement prevails for that engagement. Services are provided on a project or retainer basis as agreed.
4. Quotations, fees and payment
- Quotations are valid for 30 days unless stated otherwise.
- Unless agreed otherwise, projects require a deposit (typically 50%) before work begins, with the balance due on completion or against an agreed milestone schedule.
- Retainer and subscription services are billed in advance for each period.
- Invoices are payable within the period stated on the invoice. We may pause or suspend work on overdue accounts.
- Fees exclude third-party costs — for example domains, hosting, advertising budgets, stock assets or premium plugins — which are billed separately or paid by you directly.
- Prices may be quoted in XAF (Central African CFA franc) or another currency as agreed.
5. Your responsibilities
To deliver on time, we rely on you to provide accurate information, brand materials, access and timely feedback. You are responsible for ensuring that any content or materials you supply do not infringe the rights of others and comply with applicable law. Delays in providing materials or approvals may affect timelines and cost.
6. Revisions and changes of scope
Each engagement includes a reasonable number of revision rounds as set out in the Project Agreement. Work outside the agreed scope — including significant changes of direction after approval — may be quoted and billed as additional work.
7. Intellectual property
Ownership of final Deliverables transfers to you once we have received full payment for the relevant engagement. Until then, all Deliverables remain our property. We retain ownership of our underlying tools, methods, templates and know-how. Third-party assets (such as fonts, stock images or plugins) remain subject to their own licences, which you are responsible for maintaining. Unless you ask us in writing not to, we may feature completed work in our portfolio and marketing.
8. Products and third-party services
Our products (including UniBHost, UniMailer, UniSMS, UPortfolio and UniBacklink) and any third-party services we set up on your behalf may be governed by their own terms. You agree to comply with those terms and with acceptable-use and anti-spam requirements when sending email or SMS through our platforms.
9. Confidentiality
Each party agrees to keep the other's non-public business information confidential and to use it only for the purpose of the engagement.
10. Warranties and disclaimer
We carry out our work with reasonable skill and care and to professional standards. Except as expressly stated, our website and services are provided "as is". We do not guarantee specific commercial outcomes such as particular search rankings, traffic, sales or revenue, as these depend on factors beyond our control.
11. Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental or consequential loss, or loss of profits, revenue or data. Our total liability arising out of any engagement is limited to the fees you paid for that engagement.
12. Cancellation and refunds
Either party may end an engagement in writing. If you cancel, you remain responsible for work completed and costs committed up to the cancellation date, and deposits are non-refundable to the extent work has been performed. Subscription services may be cancelled for future billing periods.
13. Termination
We may suspend or end an engagement if you breach these Terms, fail to pay, or ask us to do anything unlawful. On termination, you agree to pay for all work completed to that point.
14. Data protection
We handle personal information in line with our Privacy Policy, which forms part of these Terms.
15. Governing law
These Terms are governed by the laws of the Republic of Cameroon, including applicable legislation on electronic communications and cyber-security. Any dispute will be subject to the competent courts of Cameroon, without prejudice to any mandatory rights you may have where you are based.
16. Changes to these Terms
We may update these Terms from time to time. The current version will always be available on this page, with the "last updated" date shown above. Continued use of our website or services means you accept the updated Terms.
