Introduction: These Uni B Agency Terms and Conditions (“Agreement”) govern the provision of services by UNI-B Agency (“Agency”), a digital marketing agency based in Bamenda, Cameroon. By engaging our services, you (“Client”) agree to be bound by this Agreement. Our services include but are not limited to, brand development, content creation, social media marketing, search engine optimization (SEO), and other digital marketing services.
Scope of Services: The Agency will provide the services as outlined in the proposal or contract agreed upon by both parties. The scope, timelines, and deliverables will be clearly defined before the commencement of any project.
Client Responsibilities: The Client agrees to provide all necessary information, materials, and access required for the Agency to perform the services. Delays in providing such resources may affect project timelines, and the Agency will not be liable for any delays caused by the Client.
Payment Terms: Payment terms will be outlined in the proposal or contract. A non-refundable deposit may be required before the commencement of work. Payments should be made according to the agreed schedule. Failure to make timely payments may result in the suspension of services until the account is current.
Refund Policy:
No Refunds Post-Commencement: Once work has commenced, refunds are not available. If a Client decides to cancel a service after work has started, any remaining funds, after deducting costs for work already completed, will be held as a credit for future services.
Refunds for Non-Delivery: Refunds will only be considered if the Agency is unable to deliver the agreed-upon services due to its own fault. In such cases, the refund will be limited to the amount paid for the undelivered services.
Credit for Canceled Services: If the Client cancels a service, the remaining balance after deducting costs incurred by the Agency will be held as a credit for future services. This credit must be used within one year from the date of cancellation.
Revisions and Changes: Revisions to the work will be provided as outlined in the proposal or contract. Additional revisions or changes outside the original scope may incur additional fees, which will be communicated to the Client before proceeding.
Confidentiality: The Agency agrees to maintain the confidentiality of any sensitive information provided by the Client and to use it solely for the purpose of providing the agreed-upon services. Both parties agree not to disclose any confidential information to third parties without prior written consent.
Intellectual Property: All materials created by the Agency, including but not limited to designs, content, and strategies, remain the intellectual property of the Agency until full payment is received. Upon full payment, ownership of the final deliverables will be transferred to the Client, unless otherwise agreed.
Limitation of Liability: The Agency will not be liable for any indirect, incidental, or consequential damages arising from the use of its services. The Agency’s total liability shall not exceed the amount paid by the Client for the specific service in question.
Dispute Resolution; In the event of a dispute, both parties agree to attempt resolution through good-faith negotiations. If a resolution cannot be reached, the dispute will be submitted to arbitration in accordance with the laws of Cameroon. The decision of the arbitrator will be final and binding.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Cameroon. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in Bamenda, Cameroon.
Termination: Either party may terminate this Agreement by providing thirty (30) days’ written notice to the other party. The Client will be responsible for payment of all services rendered up to the date of termination, including any work-in-progress.
Entire Agreement: This Agreement constitutes the entire understanding between the Client and the Agency with respect to the services provided and supersedes all prior agreements, whether written or oral.
Amendments: The Agency reserves the right to amend these Terms and Conditions at any time. Any amendments will be communicated to the Client and will take effect immediately upon posting.
